Dividends are the part of the profits of a joint-stock company that remains after taxes and is paid to shareholders. As a rule, dividends are issued in cash. But sometimes shareholders receive their income in the form of shares or some property of the company. Therefore, Article 43 of the Tax Code of the Russian Federation interprets dividends as any, not necessarily monetary, income that the company's participants receive after distributing its profits.
Required payment conditions
In order for a shareholder to expect to receive dividends, the company needs to have a net profit. In addition, the shareholders' meeting must officially decide to allocate this profit, or part of it, to the payment of dividends. Such a decision may not be made during a crisis or in the presence of investment projects.
Payment procedure
First, the company's Board of Directors is preparing to propose to shareholders the payment of dividends and begins to form a register of who is owed and how much. The annual shareholders' meeting then approves the proposal. No earlier than ten days after the meeting and no later than twenty days after it, the formation of the register is formally terminated, and the closing date arrives. According to Russian legislation, those who were included in it no later than two days before the closing date can count on dividends. Therefore, if you become the owner of shares, for example, a week before the closing date of the register, you can count on the corresponding dividends for the whole year.
How old is it for whom?
The amount of dividends paid by a company participant is proportional to the number of shares it holds. At the same time, dividends on preferred shares are first deducted from the amount of distributed profit. The owners of such shares do not have the right to vote, but they always receive a fixed income stipulated in the company's Articles of Association. It can be calculated as a part of the profit or as a share of the face value.
When is the payment made?
The date of payment of dividends in Russia is determined by law. It cannot be later than 25 days after the so-called ex-dividend date, that is, the deadline date when it is still possible to purchase shares in order to get into the register of payments.
Taxation of dividends
According to Article 224 of the Tax Code of the Russian Federation, dividends received are taxed at a rate of 9%. It does not matter whether they are received from a Russian company or from abroad.
